Issue of Options & Transfer of Shares

The Company announces that it has granted the following share options (the “Options”) to Tim Mitchell, Chief Executive Officer and John Reader, Chief Scientific Officer (together, the “Directors”);

The Options have been granted with an exercise price of 1.2 pence and are exercisable until 13 March 2022.

Of the Options granted to each Director, 1,283,333 options will vest immediately, with the remaining 1,283,333 options vesting subject to pre-determined performance criteria.

In addition to the Options being granted, the Directors currently each hold options over 12,553,846 shares, which were granted on 13 December 2010 and 4 December 2009. 

The Company also announces that Tim Mitchell has transferred 10,000,000 ordinary shares in the capital of the Company to his wife.

Research Update: Positive Results from Research Programmes

Sareum (AIM: SAR), the specialist cancer drug discovery business, is pleased to announce positive results from several of its cancer and auto-immune disease research programmes:

Chk1: Following the announcement of the pre-clinical development candidate in August 2011, research continues to demonstrate the effectiveness of the programme lead compounds in further cancer models. In November 2011, scientists from Sareum and the Institute of Cancer Research presented two posters at the AACR-NCI-EORTC international cancer conference. These posters described the development and effectiveness of programme lead compounds, including new data showing significant tumour growth rate reductions in an in-vivo model of lung cancer when dosed in combination with gemcitabine, and significant regression of neuroblastoma tumours in an in-vivo model, when dosed as a single agent. Licensing discussions continue with several interested parties.

Aurora+FLT3: Work continues to select a pre-clinical development candidate from two of the programme lead compounds. One of these compounds, and its effectiveness in a model of Acute Myeloid Leukaemia, was described in the research update of February 2011. Head-to-head efficacy studies show the second compound to be similarly effective, whilst being better tolerated and having superior ADME (absorption, distribution, metabolism and excretion) properties. We are close to making the final selection, and are discussing opportunities with a number of interested parties regarding the co-development of the programme to prepare for clinical studies. Work also continues to optimise a second series of molecules with demonstrated oral bioavailability.

Aurora+ALK: We are optimising a series of compounds derived from our SKIL^® platform, which potently inhibit the Aurora and ALK kinases. Such inhibitors are designed to act against cancers where ALK is believed to be the oncogenic driving force behind tumour development, particularly against identifiable subsets of lymphomas, neuroblastomas and non-small cell lung cancer. Compounds with potent anti-proliferative properties against cell-lines bearing ALK activating mutations have been developed, however further optimisation is required to improve pharmacokinetic properties to deliver orally bioavailable examples, and this work is ongoing. In parallel, a subset of ALK-selective inhibitors (i.e. lacking activity against the Aurora kinases) has been discovered and efforts are ongoing to deliver orally bioavailable examples from this series.

TYK2: An initial in-vivo study into the effectiveness of a programme lead compound in a model of multiple sclerosis was encouraging, giving a statistically significant reduction in disease severity, across a range of criteria, in a dose-dependent manner when dosed orally on a twice daily schedule. Similarly, in a model of arthritis, twice-daily oral dosing of the same lead compound had significant beneficial effects on disease severity. These important proof-of-concept experiments have encouraged us to continue optimisation of programme compounds. In the meantime, we are discussing licensing and co-development opportunities with a number of interested parties.

VEGFR-3 (FLT4): We have prioritised our research spend on other programmes whilst we continue to seek a partner with the necessary biology expertise to assist us in the progression of this programme. We also await with interest the results of early clinical trials on products with similar modes of action, such as IMC-3C5 (ImClone) and VGX-100 (Circadian Technologies).

Microtubule Binding Agents: This is a new programme arising from the continued screening of our SKIL library compounds. Lead compounds act in a similar manner to the billion-dollar selling taxane drugs, by altering the dynamics of tubulin polymerisation, and therefore affecting the ability of a cell to divide. However, in contrast to taxanes, which are natural product derivatives, our lead compounds are entirely synthetic and have the potential to be dosed via the oral route. Indeed a programme lead compound was found to be more than 60% orally bioavailable with potent anti-proliferative effects against a range of colon, lung, breast, prostate and leukaemia cell lines. We intend to expand our understanding of Structure Activity Relationships (SAR) within this series, whilst seeking to improve potency and pharmacokinetic properties, before initiating marketing activities.

Chairman and CEO's Statement

The highlight of the period was the selection of the preclinical candidate compound from the Chk1 inhibitor programme which is run as a joint collaboration with The Institute of Cancer Research and Cancer Research Technology Ltd. The current research work on this programme has been undertaken by The Institute of Cancer Research or through outsourced programmes sponsored by Sareum. The best orally absorbed compounds from this programme have been submitted to a series of challenging studies in-vitro and in model systems. A comprehensive review of this data permitted the selection of the compound with the best all round characteristics.  This compound has been submitted to further testing to determine its pharmacokinetic profiles and to generate pre-clinical safety data. This has been used to extend the dossier of information that is being provided to potential licensing partners for their consideration. Both development partners believe that a more complete data package will facilitate the process of agreeing advantageous licensing terms.

The Directors believe that the appetite for licensing deals remains strong, despite the current financial climate, and that a deal will be brokered before the calendar year end. The Executive Directors have been delegates and presenters at key conferences and bio-partnering events throughout the period, providing opportunities to showcase the Company's technology and to present new information on all our drug discovery programmes. In particular, they provide a forum to meet with potential licensing partners for one to one discussions.

Good progress has also been made with our wholly-owned internal research programmes, arising from our SKIL^® platform. The requirement here is to design new molecules using the data generated in test programmes to improve the performance of compounds against the kinase target. These studies measure the potency of a molecule and its specificity for the target with the aim being to improve potency and narrow the affinity for other targets. Greater specificity usually equates to less toxicity and greater potency means that smaller doses can be given, which itself can lead to reduced toxicity or provide the opportunity to use higher and more effective doses without reaching dose levels that would be toxic to the patient. The considerable experience of manipulating molecules to improve the important properties is a well-developed skill within the Sareum team. This improves the probability of successfully designing molecules with enhanced properties and minimises the trial and error approach such that we are able to derive the best return from the spend on compound synthesis and testing.

The Aurora+FLT3 programme is wholly owned by Sareum and continues to make good progress. We have two strong lead candidates and additional studies are in hand and planned to generate further data in order to select the pre-clinical development candidate. We shall then undertake some early stage pre-clinical studies to create a dossier of information sufficient to satisfy the initial requirements of potential licensees and partners. We are already talking to a number of interested parties and our aim for this programme would be to sign a co-development deal, which would enable the Company to negotiate a better license deal at a later stage when the clinical potential of the chosen compound can be better assessed. Potential revenue from a deal involving Chk1 could help fund this activity.

Progress continues with our Aurora+ALK programme. Compounds have been developed that are effective in reducing the proliferation of identifiable subsets of lung cancers, lymphomas and neuroblastomas where ALK is believed to be the driver of the tumour development. Work continues to develop compounds that can be delivered via the oral route, and that are effective against ALK variants that are resistant to the marketed ALK inhibitor, crizotinib (Xalkori).

Compounds generated in our TYK2 programme have shown initial efficacy in in-vivo models of multiple sclerosis and arthritis. These indications represent major opportunities since they are poorly served currently and represent unmet needs.  Although the portfolio of data on the lead compounds needs to be expanded there is sufficient interest in this area from pharma companies to make early approaches worthwhile and a number of conversations are taking place with interested parties.

Additionally, a new programme, targeting tubulin polymerisation, has been identified from the continued screening of SKIL library compounds. Lead compounds act in a similar manner to the billion dollar selling taxane drugs, but have the advantageous potential of being deliverable via the oral route. These compounds are effective against a range of leukaemia and colon, lung, breast & prostate cancer cell lines.

It should be noted that major investment in these programmes will be required from a licensee or partner and until a significant body of clinical data has been built up the risk to the partner (and to Sareum) remains high. It usually takes a significant period of time to turn a discussion with an interested party into a multi-million dollar commitment and to agree the terms of a deal. The Company is unable to provide a detailed update until such time as a deal has been concluded and all parties agree that an announcement is required. Though there is a lack of more specific news, investors and interested parties should recognise that the Company is putting maximum effort into delivering worthwhile deals.

Financial review

 We ended the half year with net assets of £552,000, including £530,000 of cash in the bank. Loss (after taxation) for the period was £327,000 (2010: £258,000), the increase reflecting the increased R&D investment indicated in the Company’s RNS announcement of 10 February 2011.

Outlook

The Company is set to continue with its present structure and funding model since this is making the most effective use of available funds and resources to drive programmes forward rather than being used to build infrastructure. Revenues from early deals will be used to progress the in-house programmes and reduce the need to generate investment from shareholders. Commercial strategies in the Industry are constantly evolving as pharmaceutical companies review their priorities and the focus switches to different therapeutic areas and to different targets within those areas. However, oncology remains one of the most important therapeutic areas being pursued and Sareum's focus on a range of established and newer targets within this field provides some future proofing. In addition, the ability to move into other fields, additional to our oncology programmes, such as the potential of TYK2 inhibitors in multiple sclerosis and rheumatoid arthritis, opens further valuable opportunities.

The Directors believe that the opportunity to generate revenues and value from signing deals with pharmaceutical partners can be delivered and expect at least one such deal to be completed this calendar year.

Sareum to Present CHK1 Cancer Research Programme
at the 2011 AACR-NCI-EORTC International Conference

Sareum Holdings plc, the specialist cancer drug discovery business, is pleased to announce that it will present recent results from its joint research collaboration with The Institute of Cancer Research (ICR) and Cancer Research Technology Ltd. (CRT) at the American Association for Cancer Research (AACR) National Cancer Institute (NCI) European Organisation for Research and Treatment of Cancer (EORTC) International Conference, to be held between 12 and 16 November 2011 in San Francisco, CA.

On Sunday November 13, scientists from the ICR and Dr John Reader, Sareum’s CSO, will present two posters^* that describe the discovery of CHK1 programme lead compounds and the effectiveness of an advanced lead in cancer models, both as a single agent and in combination with chemotherapy.

The Company is encouraged that some of the significant recent progress made by the joint research collaboration will be presented at a prestigious international cancer conference and believe this will assist in discussions with potential licensing partners.

Operational Highlights

Sareum to Present at European Cancer Cluster Partnering Conference

Sareum (AIM: SAR), the specialist cancer drug discovery business, is pleased to announce that Dr Tim Mitchell, CEO, will make two presentations at the European Cancer Cluster Partnering Meeting (ECCP) conference, being held in Toulouse, France.

Today, Dr Mitchell will illustrate the ability of Chk1 inhibitors to increase the potency of chemo- and radio- therapy at the European Technology Showcase session. Preclinical Development Candidate Selected for Chk1 Inhibitor Programme

Sareum, the specialist cancer drug discovery business, The Institute of Cancer Research (“the ICR”) and Cancer Research UK’s commercial arm, Cancer Research Technology Limited (“CRT”) are pleased to announce the selection of a preclinical development candidate from their joint research collaboration.

The joint research collaboration targets Chk1 (Checkpoint Kinase 1). Chk1 is important in controlling a cancer cell’s response to DNA damage, which may be a consequence of the cancer itself, or intentionally caused by chemotherapy or radiotherapy.

Preclinical model studies carried out at the Cancer Research UK Cancer Therapeutics Unit at the ICR demonstrate that the Chk1 candidate, dosed via the oral route, in combination with the chemotherapeutics gemcitabine or irinotecan significantly reduces cancer growth rates compared to treatment with the same dose of chemotherapeutic without the Chk1 inhibitor.

Further preclinical studies demonstrate the potential for the collaboration Chk1 development candidate to reduce tumour growth when given as a sole treatment in models of certain cancer types that are believed to be dependent on Chk1 for survival.

The Company announces that Mr Tim Mitchell, Chief Executive Officer of Sareum, has today sold a total of 500,000 ordinary shares in the capital of the Company (“Ordinary Shares”), half of which were sold at a price of 2.45 pence per share with the remaining sold at a price of 2.452 pence per share. Following the transactions, Mr Mitchell holds a total of 42,280,471 Ordinary Shares, equivalent to 2.91 per cent. of the Company’s issued voting share capital.

Research Update: Positive Chk1 Programme Model Studies

Sareum, the specialist cancer drug discovery business is pleased to announce positive results from pre-clinical in-vivo efficacy studies from their joint research collaboration with Cancer Research Technology Limited (“CRT”) and The Institute of Cancer Research (“The ICR”).

A recent colon cancer pre-clinical model study carried out by The ICR demonstrates that the combination of a collaboration Chk1 inhibitor, dosed via the oral route, in combination with a chemotherapeutic, gemcitabine, demonstrates a greater than two-fold reduction in cancer growth rate compared to treatment with the same dose of gemcitabine without the Chk1 inhibitor.

Further pre-clinical in-vivo studies for the programme show that the collaboration Chk1 inhibitor, dosed alone, can reduce cancer growth in models of AML (acute myeloid leukaemia) and neuroblastoma (a childhood cancer).  Certain cancers, such as these, are believed to be dependent on Chk1 for survival.

The joint research collaboration with the ICR and CRT targets Chk1 (Checkpoint Kinase 1). Chk1 is important in controlling a cancer cell’s response to DNA damage, which may be a consequence of the cancer itself, or intentionally caused by chemotherapy or radiotherapy.

We believe the results from the recently conducted studies will significantly enhance the licencing package and assist the collaboration in selecting the best compound for development into a clinical trials candidate”.
